利用規約
この利用規約は、TAKT for Mac（以下「本ソフトウェア」）、ウェブサイト taktvideo.com、およびライセンスに適用されます。本ソフトウェアをダウンロード・インストール・使用した時点で、この規約に同意したものとみなします。
1. 提供者
本ソフトウェアとウェブサイトは、TAKT（開発・運営：吉川 杏平）が提供します。連絡先は support@taktvideo.com です。
2. ライセンス（使用許諾）
本ソフトウェアは販売ではなく使用許諾です。提供者は、この規約に従うことを条件に、本ソフトウェアを使用する非独占的・譲渡不能のライセンスを付与します。
- FREE：無料でダウンロードして使えます。書き出した PDF とカット表には FREE WATERMARK と「Made with TAKT」の表示が入ります。
- PAID：¥2,000 の買い切り（1 回のお支払い）で、透かしのない書き出しが有効になります。サブスクリプションではなく、有効期限もありません。
- PAID のライセンスキーは、1 つにつき同時に Mac 1 台で有効です。別の Mac へ移すと、前の Mac の登録は解除されます。
- ライセンスキーは購入者本人（または購入した組織の 1 人の利用者）のためのものです。第三者への配布・転売・公開はできません。
3. アカウントについて
本ソフトウェアにアカウント制はありません。ユーザー登録・パスワード・ログインは不要で、利用者の映像や書き込んだ指示が提供者のサーバーへ送られることもありません。PAID の有効化に使うのは、メールで届くライセンスキーだけです。
4. 決済
PAID の決済は、当社の販売代理人（Merchant of Record）である Paddle.com Market Ltd.（以下「Paddle」）が行います。注文の受付・請求・領収書の発行・税の処理・返金は Paddle が担当し、購入者は Paddle の購入者向け規約にも従うものとします。TAKT はカード番号などの決済情報を受け取りません。返金については返金ポリシーをご覧ください。
5. 認められる使い方
本ソフトウェアは、映像制作・確認・修正指示のために、個人でも業務でも使えます。書き出した PDF やカット表は、利用者のものとして自由に配布・納品できます。
6. 禁止事項
- 本ソフトウェアのリバースエンジニアリング、改変、ライセンス確認や透かしの仕組みの回避
- ライセンスキーの共有・転売・公開、不正に得たキーの使用
- 本ソフトウェアやウェブサイト、ライセンスサーバーへの不正アクセス・過度な負荷
- 法令に反する目的での使用
7. 知的財産
本ソフトウェア、ウェブサイト、ロゴ・名称「TAKT」の権利は提供者に帰属します。利用者が本ソフトウェアで扱う映像・書き込んだ指示・書き出した PDF は利用者のものです。
8. アップデートと提供の継続
提供者は本ソフトウェアのアップデートを提供することがありますが、その内容や時期、将来の macOS への対応を保証するものではありません。本ソフトウェアはアップデートの確認のために配信サーバーへ接続することがあります。ウェブサイトやライセンスサーバーは、保守などのために一時的に停止することがあります。
9. 保証の否認と責任の制限
本ソフトウェアは現状有姿で提供され、特定の目的への適合性や、すべての動画形式・環境で動作することを保証しません。法令で認められる範囲で、提供者は本ソフトウェアの使用または使用できないことから生じる間接的・付随的な損害について責任を負いません。提供者の責任は、利用者が本ソフトウェアに支払った金額を上限とします。消費者に適用される強行法規上の権利は、この条項によって制限されません。
10. ライセンスの終了
利用者がこの規約に違反した場合、提供者はライセンスキーを無効にすることがあります。返金・チャージバックが行われた場合も、そのキーは無効になり、書き出しは FREE（透かし付き）に戻ります。FREE の機能はその後も使えます。
11. 規約の変更
この規約は、機能や法令の変更に合わせて改定することがあります。改定後の規約はこのページに掲載した時点で有効になります。
12. 準拠法
この規約は日本法に準拠します。ただし、Paddle を通じた購入については Paddle の購入者向け規約が優先して適用される部分があります。

TERMS OF SERVICE (ENGLISH)
These terms apply to TAKT for Mac (the “Software”), the website taktvideo.com and TAKT licenses. By downloading, installing or using the Software you agree to them.
1. Provider
The Software and website are provided by TAKT (developed and operated by Kyohei Kikkawa). Contact: support@taktvideo.com.
2. License
The Software is licensed, not sold. You receive a non-exclusive, non-transferable license to use it under these terms. FREE: free to download and use; exported PDFs and cut sheets carry a FREE WATERMARK and the “Made with TAKT” credit. PAID: a one-time purchase of ¥2,000 enables watermark-free export. It is not a subscription and does not expire. One license key is valid on one Mac at a time; moving it to another Mac deactivates the previous one. License keys are for the purchaser (or one user within the purchasing organization) and may not be shared, resold or published.
3. No accounts
There are no user accounts, passwords or logins. Your videos and notes are never sent to our servers. Activation uses only the license key you receive by email.
4. Payments
Purchases are handled by our reseller and merchant of record, Paddle.com Market Ltd. (“Paddle”), which processes orders, invoicing, taxes and refunds. Paddle’s buyer terms also apply to your purchase. TAKT does not receive your payment card details. See the refund policy.
5. Permitted use
You may use the Software for personal or commercial video review and correction work, and freely distribute the PDFs and cut sheets you export.
6. Prohibited use
Reverse engineering or modifying the Software, circumventing the license or watermark mechanism, sharing or reselling license keys, attacking or overloading the website or license servers, or any unlawful use.
7. Intellectual property
The Software, the website and the TAKT name and logo belong to the provider. Your videos, notes and exported documents remain yours.
8. Updates and availability
Updates may be provided but are not guaranteed, nor is compatibility with future macOS versions. The Software may contact an update server to check for updates. The website and license servers may be temporarily unavailable for maintenance.
9. Disclaimer and limitation of liability
The Software is provided “as is”, without warranty of fitness for a particular purpose or of support for every video format or environment. To the extent permitted by law, the provider is not liable for indirect or consequential damages, and total liability is limited to the amount you paid for the Software. Mandatory consumer rights are not affected.
10. Termination
License keys may be disabled for breach of these terms. After a refund or chargeback the key is disabled and export returns to FREE (watermarked); FREE features remain available.
11. Changes
These terms may be updated to reflect changes in the product or the law; the updated version applies once published on this page.
12. Governing law
These terms are governed by the laws of Japan, except where Paddle’s buyer terms govern your purchase.
